ANDREA CATANEO

Andrea Cataneo joined Sichenzia Ross Friedman Ference LLP in 2004. Her practice focuses on corporate and securities matters and general representation of public and private companies and investment banks engaged in transactional and financing activities. She represents companies in PIPE transactions and other corporate financings, SEC registration statements and other 1933 Securities Act filings, 1934 Exchange Act filings, Sarbanes-Oxley compliance, private placement offerings and blue-sky filings, venture capital investments and corporate formations and restructurings. Additionally, through her extensive relationships in the investment community, Ms. Cataneo is able to introduce her clients to targeted sources of capital.
Ms. Cataneo is also active in reverse mergers of private entities into public “shell” companies, and has direct access to shells of various types that are seeking merger candidates and business combinations.

Prior to joining the Firm, Ms. Cataneo ran a private practice beginning in 1999 concentrating in the areas of Securities Law, Corporate Finance, General Corporate Law, Mergers and Acquisitions and Entertainment Law. Previously, Ms. Cataneo served as General Counsel to Power Station Entertainment, Inc., the sister A&R company to Power Station, Inc., the world famous NYC based recording studio, and she currently serves as Secretary and Treasurer to Time of Your Life, Inc.

Ms. Cataneo received her Juris Doctor degree in 1996 from Rutgers University School of Law, Newark, New Jersey, where she was Editor-in Chief of the Women’s Rights Law Reporter, and during that time, she served as legal intern to the honorable William G. Bassler in the Federal District Court of New Jersey in Newark. She received a B.A. in Political Science in 1992, summa cum laude, from Fairleigh Dickinson University in New Jersey, and was named the Mennen Scholar for academic excellence and leadership performance. Ms. Cataneo has served on industry panels to discuss SEC Rule changes, sand she is currently in the process of co-authoring a book on Pinksheets listings. Andrea Cataneo was admitted to practice in the State of New Jersey and the Untied States District Courts of New Jersey in 1997.
